Terms of Service
Effective and last updated: July 31, 2026
These Terms of Service ("Terms") are a binding agreement between Launch Local Everywhere Trust, doing business as Launch Local Everywhere ("LLE," "we," "us," or "our"), and the person or organization accessing the LLE web application, public or customer websites, customer-site tools, LLE Media Studio desktop application, APIs, integrations, analytics or advertising features, and related services (collectively, the "Services"). By creating an account, accepting an order, installing the desktop application, connecting a third-party account, enabling tracking or advertising tools, or using the Services, you agree to these Terms.
1. Eligibility and authority
You must be at least 18 years old and legally capable of entering a contract. If you use the Services for an organization or client, you represent that you are authorized to bind that organization or act for that client and to connect the domains, advertising accounts, analytics properties, calendars, social profiles, data sources, and other assets you instruct LLE to access.
2. Accounts, credentials, and security
You must protect passwords, devices, recovery methods, API credentials, OAuth grants, and connected accounts. You may not obtain or use credentials without authorization. Notify LLE promptly of suspected compromise. We may require verification, revoke sessions, rotate credentials, suspend integrations, or restrict access to protect users, connected platforms, or the Services.
3. License and permitted use
Subject to payment and compliance with these Terms, LLE grants you a limited, nonexclusive, nontransferable, revocable right to use the Services for your internal business operations and authorized client work within applicable plan, license, domain, user, and module limits. No ownership in LLE software, models, interfaces, documentation, or underlying systems is transferred.
4. Customer content, personal data, and permissions
You retain ownership of content and data you submit or direct the Services to process ("Customer Content"). You grant LLE and its approved service providers a limited license to host, copy, transform, transmit, display, and otherwise process Customer Content only as needed to provide, secure, support, and improve the Services and carry out your documented instructions.
You represent that you have all rights, notices, consents, permissions, and lawful bases required for Customer Content and connected accounts, including personal information, images, recordings, communications, imported lists, advertising audiences, analytics data, and third-party intellectual property. You are responsible for your websites, campaigns, offers, disclosures, published content, and instructions to LLE.
5. Google OAuth and Google API services
You may connect supported Google services only when you are authorized to do so. LLE requests purpose-specific OAuth permissions for implemented features. Depending on the connection you choose, these may include basic Google identity, Google Analytics read access, Google Search Console access, Google Calendar read/event permissions, and the Google Ads adwords scope.
You authorize LLE to access and process the Google data necessary to provide the visible feature you selected. You may revoke access at any time through LLE or your Google Account. LLE's use of information received from Google APIs is subject to the Google APIs Terms of Service, product-specific requirements, and the Google API Services User Data Policy, including Limited Use. You may not instruct LLE to use Google user data for prohibited purposes, including unrelated targeted advertising, sale to data brokers, creditworthiness or lending decisions, or generalized AI/model training.
6. Google Ads API and advertising-account responsibilities
If you connect Google Ads, you authorize LLE to use the connected account for supported user-facing features such as discovering accessible customer accounts and obtaining Keyword Planner ideas or historical demand metrics. Your use of Google Ads and the Google Ads API remains subject to Google's current advertising terms, developer policies, data-protection terms, account-security requirements, rate limits, and account enforcement.
If GDPR or similar law applies to personal data processed in connection with Google Ads, you and LLE agree to process that data consistently with applicable Google Controller-Controller Data Protection Terms and/or Google Ads Data Processing Terms as required by the parties' roles. You are responsible for ensuring that advertising-account data, audiences, conversion data, and campaign instructions have a lawful basis and required notices or consent.
7. Facebook, Instagram, Threads, Meta Ads, and Meta Business Tools
You may connect Facebook Pages, Instagram or Threads professional profiles, advertising assets, and other Meta properties only when you are authorized to administer them. You authorize LLE to request and use the permissions selected during OAuth and to perform actions you initiate or approve, including profile discovery, publishing, editing, comment or reply management, analytics retrieval, messaging where supported, and customer-directed advertising or measurement functions.
Your use of Meta products remains subject to Meta's Platform Terms, Commercial Terms, Business Tools terms, Custom Audience terms when applicable, advertising standards, developer policies, data-processing terms, consent requirements, and technical restrictions. You must not upload or transmit customer lists, event data, or other personal information to Meta unless you have the rights, notices, lawful basis, permissions, and opt-out handling required by applicable law and Meta's rules.
8. Tracking pixels, cookies, analytics, and privacy choices
LLE can configure Google tags, Google Analytics, Google Ads conversion tracking, Google Tag Manager, Meta Pixel, Microsoft UET, LinkedIn Insight Tag, TikTok Pixel, and similar technologies. LLE's managed tracking layer requires a visitor choice before supported nonessential analytics or advertising tags load. You remain responsible for determining whether each technology and purpose is lawful for your website and audience, providing required cookie/privacy notices, maintaining a valid lawful basis, honoring opt-outs and Global Privacy Control signals where applicable, and maintaining an accurate privacy policy.
LLE's structured preference center provides separate analytics and advertising choices, makes reject and accept actions comparably accessible, and honors supported Global Privacy Control signals for advertising opt-out. You may not rely on a privacy-policy disclosure alone where law requires prior consent. Legacy raw tracking HTML configured through LLE is treated as advertising and routed through LLE's preference/GPC gate because LLE cannot safely infer the purpose of arbitrary code. If you deploy tracking outside LLE's managed loader, you remain responsible for compliant prior consent, withdrawal, opt-out, and preference-signal handling.
You must not send passwords, authentication tokens, Social Security numbers, financial-account numbers, protected health information, or other data prohibited by an advertising provider into advertising pixels or conversion events. Enhanced conversions, customer matching, custom audiences, or similar features may be used only when separately supported and when all provider-specific and legal requirements are met.
9. Data-processing terms
To the extent LLE processes personal data on your behalf as a processor/service provider/contractor, you instruct LLE to process that data only to provide, secure, maintain, support, and improve the Services and carry out your documented instructions, subject to law. The subject matter is the Customer Content and service data you submit or connect; the duration is the period the Services are provided plus legally or operationally required retention; the nature and purpose are hosting, transmission, organization, analysis, automation, publishing, communications, analytics, security, and other enabled Service functions; and data subjects may include your personnel, customers, leads, website visitors, contacts, or others whose data you lawfully provide.
LLE will: process data on documented instructions unless law requires otherwise; ensure personnel with access are bound by confidentiality; apply appropriate technical and organizational security measures; impose appropriate data-protection obligations on subprocessors; reasonably assist with data-subject rights, security, breach, impact-assessment, and regulatory obligations where required; delete or return processor data at the end of the Services subject to lawful retention; and make information reasonably necessary to demonstrate compliance available as required by applicable law.
Service-provider/contractor restrictions. When LLE acts as a processor, service provider, or contractor, LLE will not sell or share Customer Content for cross-context behavioral advertising, will not retain, use, or disclose that data outside the direct business relationship except as permitted by applicable law and these Terms, and will not combine it with personal information received from another person or collected from LLE's own interaction with a consumer except where applicable law permits the combination for the contracted business purpose.
Security incidents and subprocessors. LLE will notify the customer without undue delay after confirming a security incident affecting processor data when notice is required by applicable law or contract and will provide information reasonably available to support the customer's response obligations. You generally authorize LLE to use subprocessors necessary to provide the Services, subject to written data-protection obligations appropriate to the processing. Where applicable law requires notice of a material new subprocessor or an opportunity to object, LLE will provide a reasonable mechanism for that notice and objection.
Audit and transfer assistance. Upon reasonable written request and subject to confidentiality, security, proportionality, and protection of other customers, LLE will provide information reasonably necessary to demonstrate processor compliance. Where a legally required audit cannot be satisfied through available reports or documentation, the parties will cooperate on an appropriately scoped audit at the requesting customer's expense unless applicable law requires otherwise. International processor transfers will use a lawful transfer mechanism when required, including applicable standard contractual clauses or equivalent safeguards.
If a separate data processing addendum, standard contractual clauses, provider-specific terms, or additional statutory provisions are required for your jurisdiction or use case, the parties will execute or incorporate the required terms. Nothing in these Terms authorizes either party to process personal data contrary to applicable law.
10. Communications and marketing compliance
If you use LLE to send email, SMS, telephone, direct-message, chatbot, social, or other communications, you are responsible for applicable consent, opt-in/opt-out, identification, recordkeeping, quiet-hour, do-not-call, CAN-SPAM, TCPA, state mini-TCPA, platform, carrier, and industry requirements. LLE does not authorize unsolicited or unlawful communications.
11. AI-generated and automated output
The Services may generate drafts, recommendations, media, classifications, or automated actions using local or third-party models. Output may be incomplete, inaccurate, duplicative, or unsuitable. You are responsible for human review, factual verification, rights clearance, regulated-content review, and final publication. LLE does not provide legal, tax, medical, investment, credit, or other regulated professional advice through generated output.
Google user data obtained through OAuth is not used to train or improve generalized AI or machine-learning models. If a future feature would use provider data in a materially different way, LLE will update its disclosures and obtain any additional authorization required before enabling that use.
12. Desktop application and local processing
LLE Media Studio may access local CPU, GPU, files, models, microphones, storage, or other device capabilities only as permitted by you and the operating system. You are responsible for device security, backups, compatible hardware, third-party model or runtime licenses, and the files selected for processing. You may not circumvent signing, update, security, or permission controls.
13. Acceptable use
You may not use the Services to violate law or third-party rights; send unlawful, deceptive, or unauthorized spam; impersonate others; distribute malware; evade provider, privacy, consent, or security controls; scrape or access data without authorization; publish infringing, fraudulent, harassing, exploitative, discriminatory, or illegal material; interfere with service operation; probe vulnerabilities without written permission; resell access except under an authorized agency plan; or reverse engineer or create a competing service from protected LLE components except where such restriction is prohibited by law.
14. Fees, subscriptions, taxes, and suspension
Fees, billing cadence, included features, and usage limits are stated in the applicable order, checkout, invoice, or account record. Charges are due as stated and may renew automatically until canceled. You authorize the applicable payment processor to charge the selected payment method. You are responsible for taxes other than taxes on LLE's net income. We may suspend licenses, renderers, modules, integrations, or accounts for nonpayment, chargeback, fraud risk, security risk, provider requirement, or material breach.
15. Cancellation, disconnection, and refunds
Unless a written order states otherwise, cancellation is effective at the end of the current paid period. Fees are nonrefundable except where required by law or expressly agreed in writing. Removing an integration or uninstalling the desktop application does not by itself cancel a paid subscription. You may disconnect third-party accounts at any time, but provider-side revocation may also be required to terminate the provider's authorization.
16. Intellectual property and feedback
LLE and its licensors own the Services, software, interface, documentation, trademarks, and related intellectual property. If you provide feedback, you grant LLE a perpetual, worldwide, royalty-free right to use it without restriction or compensation, provided LLE does not publicly identify you without permission.
17. Third-party services
The Services may interoperate with Google, Meta, hosting providers, payment processors, email and communications systems, analytics tools, AI providers, social platforms, advertising networks, and other third parties. Those services are governed by their own terms and privacy policies. LLE is not responsible for third-party acts, omissions, outages, policy decisions, approval processes, account enforcement, or changes.
18. Confidentiality
Each party will use reasonable care to protect the other's nonpublic confidential information and will use it only to perform or receive the Services. Confidential information does not include information lawfully known without restriction, independently developed, publicly available without breach, or lawfully received from another source. Required legal disclosure is permitted with notice where lawful.
19. Availability and changes
We may modify, update, replace, limit, or discontinue features to improve security, comply with law or provider rules, address technical constraints, or evolve the product. We do not guarantee uninterrupted operation, preservation of every third-party integration, provider approval, advertising reach, search ranking, campaign performance, or compatibility with every device, model, website, account, or provider API.
20. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." LLE DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND RESULTS. LLE DOES NOT WARRANT THAT THE SERVICES, AI OUTPUT, THIRD-PARTY INTEGRATIONS, ADVERTISING FEATURES, OR PROVIDER APIs WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, APPROVED, OR AVAILABLE.
21. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LLE AND ITS AFFILIATES, TRUSTEES, PERSONNEL, CONTRACTORS, AND LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR LOST PROFITS, REVENUE, BUSINESS, GOODWILL, CONTENT, DATA, ADVERTISING SPEND, CAMPAIGN PERFORMANCE, OR PROVIDER ACCESS. LLE'S AGGREGATE LIABILITY ARISING FROM THE SERVICES WILL NOT EXCEED THE AMOUNT PAID TO LLE FOR THE AFFECTED SERVICES DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
22. Indemnification
You will defend, indemnify, and hold harmless LLE and its affiliates, trustees, personnel, contractors, and licensors from claims, losses, liabilities, penalties, and reasonable costs arising from Customer Content; your websites, pixels, audiences, campaigns, communications, or offers; your use of connected accounts; failure to obtain required consent or honor privacy rights; your violation of provider terms, law, or third-party rights; or your breach of these Terms.
23. Termination
You may stop using the Services and cancel as provided above. We may suspend or terminate access for breach, security risk, unlawful activity, provider requirement, nonpayment, or material harm to LLE or others. Upon termination, the license ends. Provisions that by their nature should survive, including payment, ownership, confidentiality, data-protection obligations, disclaimers, liability limits, indemnity, and dispute provisions, remain effective.
24. Governing law and venue
These Terms are governed by the laws of the State of Florida, United States, without regard to conflict-of-law principles. Unless applicable law requires otherwise, exclusive jurisdiction and venue lie in the state or federal courts located in Florida, and each party consents to that jurisdiction and venue.
25. General terms
These Terms, the Privacy Policy, applicable orders, provider-specific terms, and incorporated policies constitute the entire agreement regarding the Services. If an order conflicts with these Terms, the order controls only for that order. You may not assign the agreement without written consent; LLE may assign it in connection with a reorganization, financing, sale, or transfer of the Services. Failure to enforce a provision is not a waiver. Invalid provisions will be modified to the minimum extent necessary, and the remainder will continue. Electronic notices and signatures are valid.
26. Changes and contact
We may update these Terms by posting the revised version with a new effective date. Material changes may also be communicated through the Services or by email. Continued use after the effective date constitutes acceptance to the extent permitted by law.
